AlephNull is a digital asset custodial platform designed for financial institutions in Nigeria. As an early-stage prototype, these Terms outline the conditions under which you may use the Platform and its Services. The Platform is exclusively available to authorized financial institutions in Nigeria.

AlephNull offers custodial services for digital assets, including the storage, safeguarding, and management of digital assets on behalf of financial institutions. The Platform does not provide financial advice, investment services, or facilitate trading.

AlephNull reserves the right to modify or discontinue any part of the Services at its discretion.

Prohibited Activities

You agree not to use the Platform for any unlawful or fraudulent activities. Prohibited actions include, but are not limited to:

• Engaging in money laundering, fraud, or other illegal activities.
• Attempting to circumvent security measures or accessing systems without authorization.
• Using the Platform for any activities that violate Nigerian laws, including the Digital Assets Regulations.

Fees and Payments

You agree not to use the Platform for any unlawful or fraudulent activities. Prohibited actions include, but are not limited to:

User Obligations

By using the Platform, you agree to:

• Provide accurate, current, and complete information during registration and maintain its accuracy.
• Comply with applicable laws, including AML, CFT, and data protection regulations.
• Maintain the security of your account and access credentials.
• Use the Platform for legitimate, authorized business purposes only.

Intellectual Property

• Ownership: All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, software, and trademarks, are owned by AlephNull or licensed to us and are protected by applicable intellectual property laws.
• Restrictions: You may not copy, reproduce, distribute, or otherwise use any content from the Platform without prior written permission from AlephNull

Termination and Suspension

AlephNull reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for violations of these Terms or for any other reason deemed necessary. Upon termination, you will lose access to your account and the Services, and any fees paid will not be refunded.

• Suspension: AlephNull may temporarily suspend your account in the event of suspected unauthorized activities or for necessary maintenance.
• Termination For Cause: AlephNull may terminate your account immediately if you violate any provisions of these Terms.

Limitation of Liability

To the fullest extent permitted by law, AlephNull is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform or Services, including but not limited to loss of data, digital assets, or service interruptions.

AlephNull’s total liability is limited to the amount paid by you for the Services in the 12 months immediately preceding the event giving rise to the claim.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Nigeria.

• Dispute Resolution: In the event of any disputes, you agree to attempt informal resolution by contacting AlephNull’s support team. If the dispute cannot be resolved informally, it will be subject to binding arbitration in Lagos, Nigeria, in accordance with applicable laws.

Changes to the Terms

AlephNull reserves the right to modify these Terms at any time. If any significant changes are made, users will be notified via email or a prominent notice on the Platform. Continued use of the Platform following such changes constitutes your acceptance of the updated Terms.
